1. Acceptance of Terms

By using our website and services, you agree to these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

We provide fixed-fee software engineering services for SaaS businesses, including Next.js performance optimization, SaaS UI/UX modernization, and full-stack SaaS MVP builds (the "Services"). Each project is described in a written proposal that sets out its scope, timeline, and fee. We reserve the right to modify or discontinue any service at any time.

3. User Accounts and Communication

To request an audit or proposal, you may need to provide your name, company name, email address, and product URL. You are responsible for the accuracy of this information. By contacting us, you agree to receive communication related to your project, which we conduct primarily by email.

4. Intellectual Property

All designs, code, and materials created by us remain our property until full payment is received. After full payment, ownership of the delivered code and designs is transferred to you, except for any third-party libraries or tools used, which remain under their respective licenses. Repository access and handoff follow receipt of final payment.

5. Client Content

You retain ownership of any content, code, data, and access you provide to us, such as your repositories, designs, copy, and staging or hosting credentials. By providing them, you grant us a license to use them solely to deliver the Services. We will only showcase your project publicly (for example, in a portfolio) with your written permission.

6. Payment and Billing

Fees are fixed, quoted in US dollars (USD) in your written proposal, and are not billed hourly. Payment is 50% upfront before work begins and 50% at final staging review. Work outside the agreed scope is quoted separately and agreed in writing before it begins. Late payments may result in suspension of work, and repository access and handoff follow receipt of final payment.

7. Scope, Timelines, and Results

Each project's scope, timeline, and fixed fee are set out in a written proposal, and we commit to delivering what that proposal describes. Timelines depend on timely access, feedback, and approvals from you. We do not guarantee specific business outcomes, such as traffic, conversion rates, revenue, or search rankings, because these depend on factors outside our work.

8. Confidentiality

We are committed to protecting your confidential information. We will not disclose your source code, product data, credentials, or business information to third parties except as required by law or as necessary to provide our services (e.g., hosting or video providers). Any access you grant us is used only to deliver your project.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of our services, including but not limited to loss of revenue or customers.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these terms.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, effective upon notice. You may also terminate the agreement by providing written notice, subject to any outstanding payments.

12. Governing Law

These terms are governed by the laws of India and the state of Telangana. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

13. Changes to This Agreement

We reserve the right to update these terms at any time. We will notify you of changes by posting the new terms on this page.
